Your Mission:

 

To ensure a comprehensive and effective legal service, with the appropriate balance of quality, speed and cost; to protect the resources and interests of the company and to support the businesses in achieving their goals (strategic and general).

The Commercial Legal & Compliance Counsel works/has:

For an assigned portfolio of internal clients in and outside Portugal, with direct contacts with the MT of the OpCo and their stakeholders, Global Legal Affairs and government authorities supervising the OpCo, and as a legal specialist within SCC and Novadis for commercial and competition law, with direct contacts with the MT of the OpCo’s stakeholders, Global Legal Affairs and government authorities supervising the OpCo

Your Responsibilities:

  • Prepares (proposals for) contracts, supports, and or participates and/or leads negotiations, including defining the negotiation strategy and ensures drafting of (legal) documents (e.g. in the context of commercial negotiations for the On Trade, Off Trade and Customer Services, compliant with the competition law framework, as well as the Sponsorship Agreements for Marketing and Corporate Affairs Departments (including the Services Agreements negotiated with athletes and stars from the entertainment industry – influencers, actors, singers, etc), according to the instructions from time to time received from the Head of Legal.
  • Prepares and presents to the Head of Legal the new draft templates or the revised draft templates for commercial activities to be implemented by the Departments of the OpCo (i.e. Condições Gerais e Particulares de Venda, Contrato de Patrocínio, Contrato de Distribuição, Contrato de Compra Exclusiva, Acordo Comercial, etc).
  • Support to the business in relation to competition law improved ways of working in several interactions with On, Off Trade and the Marketing Departments.
  • Preventing and/or solving disputes, assesses the company’s legal position, ensures proposals for settlements and ensures litigation, if necessary, in accordance with internal guidelines
  • Legal representation in Courts for commercial and competition litigation (depending on the Head of Legal decisions, whether with or without external law firms)
  • Performs legal audits regarding an assigned part of the Heineken organisation, based on internal guidelines, according with the thresholds of responsibilities.; acts upon / advises on signalled deficiencies or potential improvements, and supports its development, or monitors the legal awareness of local management: Legal Risk Management. Ensure that company complies with the law & regulations
  • Develops and implements as well as maintain legal and related policies for the assigned area of expertise, within the overall legal strategy, to be approved by the Head of Legal, and guarantees that the company complies with legal polices (e.g. by executing audits)
  • Performs legal training activities to other departments (On Boarding and Accelerator Talks) in commercial and competition fields
  • Detects and follows trends in legislations (e.g. national, international, European) and translate these trends into possible and/or necessary changes in company’s procedures and/or systems
  • Ensures proper administration, archiving and registration of legal documents (including, at OpCo level, all documents related to inspections and processes from ASAE and the Competition Authority)

We want you to bring:

  • Degree and / Or Master’s in Legal;
  • 5-10 years of experience as an attorney-at-law or legal counsel (Bar Association in Portugal )
  • 5 years of experience as Commercial Legal & Compliance
  • Excellent client-facing and internal communication skills
  • Stakeholder management;
  • Proactive in identifying and solving problems;
  • Solid organizational skills including attention to detail and multi-tasking skills
  • Discipline, impact, influence, energy, ambition and proactivity. 
  • Portuguese (fluent);
  • English (minimum B2).
  • Resilience;
