About the Role:

As the Deputy General Counsel, you will be an integral member of the Heineken USA (HUSA) Legal team. This role will support the Chief Legal Officer and assume a leadership role in the Legal team’s mission of ”Paving the Way” to unlocking and driving commercial growth for HUSA’s current portfolio, and the development and scaling of key beverage innovations and new product offerings in the US market. You will manage complex commercial legal initiatives while providing guidance and support through strong stakeholder management skills to senior business leaders across the organization.

About our department: Heineken USA Legal is responsible for developing and leading corporate strategic and tactical legal and compliance initiatives. The department supports business growth, manages company risk and delivers value with a direct impact on decisions of critical interest to the Company.  

 

Subject Matter Expert for: 
• Complex transactions, Innovation (liquids), Franchise & distribution law, Food & alcohol law compliance.
• Delivering advice, drafting and legal support on complex vendor contracts, policies and trainings.
• Delivering advice and providing support on key product innovation topics (including with respect to joint ventures and development partners).
• Drafting, reviewing, and assuring appropriate advice regarding distributor relationships (appointments, terminations, changes) in compliance with varying state laws, judicial precedents, contractual provisions and strategic opportunities.
• Delivering advice and providing support on select food and alcohol compliance topics and related litigation and/or investigations.

 

Legal Leadership: 
• Must demonstrate legal expertise, including creative problem solving, in all areas of interest to the Company and the industry, and maintain productive relationships across the Company, in the industry and with regulators.
• Positively influencing outcomes through persuasion and collaboration.
• Providing legal leadership as a member of Designated Clients Leadership Teams, as appropriate.
• Partnering with the Chief Legal Officer and colleagues to streamline legal processes to reduce time and expense related to contract review, marketing review, reduce turnaround time, and increase overall efficiency of Legal team.
• Proactively identifying and addressing new and complex issues facing the business in a highly regulated market including both financial and reputational risks.
• Primary point person for litigation and regulatory investigations (including contract disputes, regulatory agency audits and investigations and labor & employment litigation).
• Managing outside counsel and internal Legal Department policies and procedures.
• Accepting and successfully executing special assignments and supporting corporate initiatives outside areas of designated responsibility as requested by the Chief Legal Officer.
• Assuring Chief Legal Officer’s familiarity with key issues confronting the business and developments in designated areas of expertise.

 

Commercial/Trade Compliance: 
• Adding value to the business by supporting strategic new business initiatives and projects. 
• Drafting, reviewing, and assuring appropriate advice regarding complex commercial contracts involving marketing partnerships and product and ingredient supply partners. 
• Legal team leader for product marketing, sales and distribution related compliance topics; responsible for associated training, workflows and audits.
• Proactively providing creative solutions to complex federal and state food & alcohol laws.
• Keeping clients appropriately informed.

Legal Training:
• Providing and participating in cross training, collaboration and dedication among legal team members.
• Passion for training and development of team members and clients. 
 
Basic Qualifications/Requirements:
• 10 years +  experience, including experience with a leading law firm or major corporation
• Applicants must have a JD degree from a top institution
• Applicants should have strong experience in contract drafting, interpretations and negotiation as well as regulatory compliance
• Consumer Packaged Goods experience required
• Food Law experience
• Litigation Experience
• Demonstrated ability to master wide ranging fields of law and apply them in complex problem solving in support of business and to communicate critical information in an effective manner
• Ability to travel 10% of the year

 

Preferred Qualifications:
• In-house experience
• Knowledge of Beer Industry 
• Familiarity with Data Privacy laws
• Fluency in Spanish a Plus
